**TEMPLATE CUSTOMIZATION SERVICE TERMS & CONDITIONS**
### AGREEMENT OVERVIEW
These Terms & Conditions (the "Agreement") govern the Template Customization Service ("the Offer") provided by Huckleberry Creative ("Provider") to the purchasing party ("Client"). By agreeing to these terms, both Parties acknowledge the following terms and conditions.
### SCOPE OF WORK
The Template Customization Service includes the following:
- **Website Template**: The cost of the project includes the Showit website template of the Client's choice from the **Huckleberry Creative/Made by Huck template library** or the **Kinhouse Made template library**.
- **Template Customization**: Customization of up to **seven pages** of a pre-designed template.
- **Review Rounds**: **One round of review** for the completed template customization.
**Client Requirement**:
- **Prework Submission**: The Client must provide all prework, including **website copy**, in advance and in the **correct format/deliverable**. Failure to do so may impede the progress and completion of the project.
### PAYMENT TERMS
By agreeing to these terms, the Client commits to the following payment schedule:
- **Down Payment**: **25%** of the total service cost due today to secure your spot.
- **Remaining Payments**: The balance to be paid in **two additional installments**, as outlined in the invoice.
- **Payment Process**: Invoices will be set up via Honeybook, with all payments made by **credit card or ACH bank transfer**. Client grants Huckleberry Creative permission to automatically deduct installment payments from the method on file every 30 days until the balance is paid in full.
**Late Payments**: All late payments will incur a **2% fee**. Failure to make a payment may result in project cancellation without refund, and any previous payments will be forfeited.
### CLIENT RESPONSIBILITIES
- **Prework Submission**: All prework, including **website copy**, must be submitted in the **correct format** prior to the start of the project. Failure to provide complete prework **on time** may result in project delays or termination. Restarting the project will require a **$500 restart fee** plus an hourly rate of **$250/hour** for uncompleted work.
- **Content & Materials**: The Client is responsible for delivering all required materials (e.g., copy, images, branding assets) by the designated prework deadline. Any delays may result in placeholder content, reduced quality of the final product, or potential project termination.
### PROJECT TIMELINE
- **Timeline to Completion**: The project will be completed within **three weeks** from the start date, provided that all prework is submitted on time.
- **Scheduling**: The project start date must be confirmed at least **two weeks in advance**. Failure to confirm or schedule within the required timeframe may result in forfeiture of the Client’s spot, and **no refunds** will be issued under these circumstances.
### REFUND, CANCELLATION & RESCHEDULE POLICIES
- **Refund Policy**: Due to the nature of the Offer, **all sales are final**, and **no refunds** will be issued except under the sole discretion of Huckleberry Creative if the fit is not suitable or if no mutually available project time is identified.
- **Cancellation**: If the Client decides to cancel services after paying the down payment, **no refund** of any payments made up to that point will be issued.
- **Rescheduling**: If the Client fails to initiate the project as scheduled, the Client will **forfeit** any deposits or payments made to date.
### PROJECT REQUIREMENTS & TERMINATION
- **One Round of Review**: Client acknowledges that only **one round of review** for the completed template customization is included. Any **additional rounds of edits** can be purchased for **$500 per round**.
- **Timely Feedback**: Client agrees to provide feedback promptly during the customization process to meet the project timeline. Failure to do so may result in delays, and Huckleberry Creative will not be responsible for missed deadlines due to Client’s delays.
### PROFESSIONAL STANDARDS & GUARANTEES
Huckleberry Creative will provide services in a professional manner in accordance with applicable standards. Client understands that **no specific results** are guaranteed. Following the recommendations and advice given by Huckleberry Creative is at the Client's own risk.
**Artistic Style**: By entering this Agreement, the Client acknowledges that Huckleberry Creative's services are a subjective creative process, and outcomes may not adhere to every specific suggestion made by the Client.
### POST-PROJECT SUPPORT
- **14-Day Support Period**: Huckleberry Creative offers **14 days of post-project support** via email following project completion.
### INTELLECTUAL PROPERTY & CREDIT
- **Portfolio Use**: Huckleberry Creative retains the right to use work produced as part of its portfolio and marketing materials. Any identifying details will be removed as appropriate.
- **Footer Credit**: Huckleberry Creative retains the exclusive right to include a footer credit on the final website design. Removal of this credit will incur a **$3,000 fee**.
### MISCELLANEOUS
- **Client Responsibility**: Client is solely responsible for evaluating and providing thorough feedback during the project. **Failure to adequately review** deliverables can lead to missed issues and will not be the responsibility of Huckleberry Creative.
- **Communication**: Quick responses are essential for this service. **Text messaging** may be used for quick clarifications but will end upon project completion, after which **email** will be the primary communication channel.
### GOVERNING LAW & ARBITRATION
This Agreement shall be governed by the laws of the **State of Florida**. Any disputes will be resolved by **arbitration** under the commercial arbitration rules of the American Arbitration Association.
### ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between both Parties. Any modifications must be in writing and signed by both Parties.
